1. About us

impactqhse.com is operated by Impact QHSE Limited (“Impact QHSE”, “we”, “us” or “our”), a company registered in England and Wales under company number 15798261. Our registered office is 17 Wilton Village, Redcar, England, TS10 4QX. Our email address is mail@impactqhse.com.

2. Definitions

•  Business Customer. A person acting wholly or mainly for purposes relating to that person’s trade, business, craft or profession.

•  Consumer. An individual acting wholly or mainly outside that individual’s trade, business, craft or profession.

•  Course. Online, live, in-house or other training content made available by us.

•  Digital Content. Online course videos, text, assessments, downloads and other data supplied in digital form.

•  Order. A purchase or booking submitted through the website or otherwise accepted by us.

•  Services. Training, consultancy, auditing, support or other professional services supplied by us.

•  You. The website visitor, account holder, purchaser, learner or client, as the context requires.

3. Scope and acceptance

These terms govern use of the website and any Order for Courses, Digital Content or Services that incorporates them. By using the website, creating an account or placing an Order, you agree to the relevant provisions.

A quotation, proposal, booking confirmation, course page or order confirmation may contain additional terms, including scope, dates, fees, access periods or cancellation charges. Those specific terms form part of the contract. If there is a conflict, the specifically agreed term takes priority for that Order, provided it was made available before the contract was formed.

Separate written terms may apply to a substantial consultancy project. Nothing in these terms removes rights that cannot lawfully be excluded, particularly a Consumer’s statutory rights.

4. Website information and professional context

Website and Course information is provided for general education and the agreed training purpose. It does not constitute legal advice and is not a substitute for an organisation’s own competent risk assessment, professional judgement, site-specific procedures or legal advice.

QHSE requirements depend on the facts, location, sector, workforce and current law. Although we use reasonable care, we do not promise that general content is complete for every situation, that use will achieve a particular regulatory or commercial outcome, or that a Course alone will make a person or organisation compliant.

5. Eligibility, accounts and authority

•  A purchaser must be at least 18 years old and legally capable of entering a contract.

•  Where you place an Order for an organisation, you confirm that you have authority to bind it.

•  Account details must be accurate and kept up to date. You must keep login credentials confidential and tell us promptly about suspected unauthorised use.

•  A learner account or individual Course licence is personal and must not be shared, transferred or resold unless we expressly allow allocation by an authorised organisational administrator.

•  A learner under 18 may participate only with appropriate authority and supervision from an employer, education provider, parent or guardian.

6. Orders and contract formation

Website listings and quotations are invitations to place an Order, not binding offers. After you submit an Order, we may send an acknowledgement. A contract is formed only when we send an acceptance or booking confirmation, make the Digital Content available, or start the Services, whichever first clearly indicates acceptance.

We may reject an Order before acceptance, for example because a Course is unavailable, payment is not authorised, information is incomplete, there is an obvious error, a legal or sanctions restriction applies, or we reasonably suspect fraud, misuse or an unauthorised resale.

You are responsible for checking the Order details and providing a working email address. Please contact us promptly about an error.

7. Prices, VAT and payment

The price, currency and whether VAT is included or added will be shown before you place an Order or stated in the quotation. You must pay the amount and by the deadline stated. We may correct an obvious pricing error before acceptance and give you the option to proceed at the correct price or cancel.

Online payments may be processed by a third-party payment provider. Its terms may also apply. We do not normally receive or store complete payment-card details. Where payment is overdue, we may suspend access or Services after giving appropriate notice, without affecting any statutory restriction on suspension or our right to recover sums lawfully due.

8. Online Courses and Digital Content

•  Access begins when we send login or activation details or otherwise make the Digital Content available.

•  Access lasts for the period stated on the course page, quotation or order confirmation.

•  You need a compatible device, current browser, reliable internet connection and any software stated in the course description. Unless expressly stated, equipment and connectivity are not included.

•  We may make reasonable updates for accuracy, security, accessibility, legal changes or technical compatibility, provided the Course continues to conform to the contract.

•  We aim for reasonable availability but do not promise uninterrupted access. Planned maintenance, security work or events outside our reasonable control may cause temporary interruption. We will take reasonable steps to restore access or provide an appropriate remedy where required.

9. Assessments, completion and certificates

A Course may require specified modules, attendance, time, assessments or a pass mark. The applicable requirements should be stated in the Course description or learning platform. We may take reasonable steps to verify identity, participation and assessment integrity.

A certificate records the completion or result stated on it. It is not a professional licence, statutory approval or proof of competence for every role unless we expressly state otherwise. You and any employer remain responsible for deciding whether further supervision, experience, assessment, refresher training or a particular accredited qualification is required.

Where an employer, client or sponsoring organisation purchased or manages a learner place, we may provide it with information reasonably needed to administer the booking and verify attendance, progress, result or completion, as described in our Privacy Policy and the relevant arrangement.

10. Live, open and in-house training

•  Dates, duration, location, delivery method, delegate numbers, equipment, prerequisites and fees will be stated in the booking confirmation or proposal.

•  You must ensure delegates meet stated prerequisites, behave safely and appropriately, and comply with reasonable venue, security and trainer instructions.

•  For work at a client site, the client must provide safe access, suitable facilities, relevant site information and any agreed equipment or permits.

•  A named trainer may be replaced by another suitably competent trainer.

•  We may reasonably reschedule, relocate, move online or cancel a session because of insufficient numbers, trainer illness, safety concerns or events outside our reasonable control. We will offer a reasonable alternative or refund amounts paid for the affected session where an alternative is not accepted and a refund is legally or contractually due.

•  Unless expressly agreed, we are not responsible for a participant’s travel, accommodation, subsistence or time costs following a change or cancellation.

11. Consultancy and other Services

We will perform Services with reasonable care and skill. The scope, assumptions, exclusions, deliverables, timetable, client dependencies and fees should be stated in the proposal or order confirmation.

You must provide timely, accurate and complete information, access, decisions and cooperation. We may rely on information supplied by you or on your behalf unless it is obviously incorrect. Delay, omission or inaccuracy may affect the timetable, fees and usefulness of the work.

Our recommendations are based on the agreed scope and information available at the time. Management decisions, legal compliance, implementation, supervision and the operation of the client’s systems remain the client’s responsibility unless a written agreement expressly assigns a particular task to us.

12. Consumer cancellation rights

12.1 General

This clause applies only where you are a Consumer and the contract is made at a distance, such as online or by telephone. You generally have 14 days after the day the contract is made to cancel a service or Digital Content contract, subject to the rules below. To cancel, send a clear statement to mail@impactqhse.com or the registered office. You may use the model form at the end of these terms, but you do not have to.

12.2 Digital Content supplied immediately

We will not begin supplying paid Digital Content during the 14-day cancellation period unless you expressly request immediate access and acknowledge that your right to cancel will be lost once supply begins. Where you give that request and acknowledgement, the right to cancel for change of mind ends when access begins. This does not affect remedies for Digital Content that is faulty, not as described or otherwise fails to conform to the contract.

12.3 Services starting during the cancellation period

We will not start a paid Service during the 14-day cancellation period unless you expressly request it. If you then cancel before the Service is fully performed, you may have to pay a proportionate amount for the part supplied up to cancellation. Your right to cancel may end once the Service has been fully performed, but only where the legal conditions, including the required request and acknowledgement, have been met.

12.4 Refund timing

Where a valid cancellation gives rise to a refund, we will make it without undue delay and normally within 14 days after being informed of the cancellation, using the same payment method unless agreed otherwise. We may deduct a lawful proportionate amount for Services supplied at your request during the cancellation period.

13. Business Customer cancellations and changes

A Business Customer’s cancellation, delegate substitution, postponement and rescheduling rights, and any associated charges, are those stated in the quotation or booking confirmation accepted before the contract was made. Those terms should reflect committed trainer time and non-recoverable costs and must be fair and transparent.

Where no specific business cancellation term was agreed, neither party has an automatic contractual right to cancel for convenience. The parties should contact each other promptly and act reasonably to minimise avoidable loss. This clause does not limit a right to terminate for breach or a right that arises by law.

14. Problems with Digital Content or Services

Please contact mail@impactqhse.com promptly with the Order details and a clear description of the problem. We will investigate and, where required, repair, re-perform, replace, provide a price reduction or refund, or offer another remedy.

Consumers are entitled to statutory standards. Digital Content must be of satisfactory quality, fit for a particular purpose made known to us and as described. Services must be performed with reasonable care and skill. Nothing in these terms restricts those rights.

15. Acceptable use

You must not, and must not help another person to:

•  use the website, Course or Services unlawfully, fraudulently or in a way that infringes another person’s rights;

•  share credentials or bypass access, payment, security, assessment or usage controls;

•  copy, record, scrape, extract, reproduce, publish, sell, sublicense or distribute protected content except as expressly permitted;

•  use automated systems to access content, build a competing service or train a machine-learning model without our written permission;

•  introduce malware, attempt unauthorised access, probe vulnerabilities, disrupt the site or impose an unreasonable load;

•  submit content that is defamatory, discriminatory, threatening, obscene, infringing, misleading or otherwise unlawful; or

•  submit unnecessary sensitive personal information or another person’s confidential information without lawful authority.

We may suspend or restrict access where reasonably necessary to protect users, systems, content or legal rights. Where appropriate, we will give notice and an opportunity to remedy the issue.

16. Intellectual property and licence

We or our licensors own the intellectual-property rights in the website, brand, Course materials, videos, assessments, templates, reports and other content, except material expressly identified as belonging to a client or third party.

Subject to payment and compliance with these terms, we grant the authorised user a limited, non-exclusive, non-transferable and revocable licence to access and use the purchased Course or deliverable for its stated purpose. A Business Customer may permit its authorised personnel to use materials internally only to the extent stated in the Order. No ownership is transferred.

You retain ownership of material you supply. You grant us the rights reasonably necessary to store, copy, adapt and use it to provide the Services, administer the contract and comply with law. You confirm that you have authority to provide it.

17. Confidentiality

For non-public information disclosed in connection with Services, each party will use reasonable care, use it only for the contract, and disclose it only to personnel, professional advisers or subcontractors who need it and are subject to appropriate obligations. This does not apply to information that is public without breach, already lawfully known, independently developed, lawfully received from another source, or required to be disclosed by law.

A separate confidentiality agreement or client-specific clause takes priority where it applies.

18. Liability

18.1 Liabilities that are not excluded

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence; fraud or fraudulent misrepresentation; breach of obligations that cannot lawfully be limited; or any Consumer right or remedy that cannot lawfully be excluded.

18.2 Consumers

We are responsible to a Consumer for loss or damage that is a foreseeable result of our breach or failure to use reasonable care and skill. We are not responsible for loss that was not foreseeable, for loss caused by information or instructions supplied by the Consumer, or for business losses arising from use for trade or professional purposes.

18.3 Business Customers

For a Business Customer, subject to clause 18.1 and to the extent permitted by law:

•  we are not liable for indirect or consequential loss, or for loss of profit, revenue, business, opportunity, anticipated saving or goodwill;

•  we are not liable for loss caused by the Customer’s failure to follow advice, provide accurate information, implement controls, maintain backups or meet its own legal responsibilities; and

•  our total aggregate liability arising out of or in connection with an Order, whether in contract, tort (including negligence), breach of statutory duty or otherwise, will not exceed the total Charges paid or payable for that Order.

The Business Customer acknowledges that fees reflect this allocation of risk and should arrange insurance appropriate to its activities. Any client-specific liability clause expressly agreed in writing takes priority.

19. Events outside reasonable control

Neither party is responsible for delay or failure caused by an event outside its reasonable control, provided it takes reasonable steps to reduce the effect and resumes performance when practicable. This may include serious illness, utility or communications failure, cyber incident not caused by a failure to use reasonable care, industrial action, transport disruption, extreme weather, public-health emergency, civil disturbance, government action or supplier failure outside reasonable control.

Payment obligations for Services already supplied are not excused. If the event materially prevents performance for a prolonged period, either party may terminate the affected unperformed part on reasonable notice, subject to any refund or payment that is fair and legally required.

20. Suspension and termination

We may suspend access or performance where payment is overdue, security is at risk, use is unlawful or materially breaches these terms, or suspension is reasonably necessary to protect people, systems, content or legal rights. We will act proportionately and, where appropriate, provide notice and an opportunity to remedy the breach.

Either party may terminate an Order for a material breach that is not remedied within a reasonable period after written notice, or immediately where the breach cannot be remedied, insolvency law permits termination, or continued performance would be unlawful. Termination does not affect accrued rights, payment for work properly supplied, or provisions intended to continue, including intellectual property, confidentiality, liability and governing law.

21. Privacy, cookies and communications

We handle personal information as described in our Privacy Policy and use storage and access technologies as described in our Cookie Policy. Contract and service messages may be sent electronically to the address associated with the Order or account. You must keep that address current.

22. Third-party links and services

The website may link to or integrate third-party services. A link does not mean that we endorse or control the third party. Its terms and privacy information may apply. We are responsible for a third-party component only to the extent required by law or expressly stated in the Order.

23. Changes to the website, Courses and terms

We may update the website and these terms for legal, security, technical or business reasons. Changes do not retrospectively remove rights under an existing Order. For an ongoing service, we will give reasonable notice of a material change and any cancellation right required by law or the contract.

24. Complaints

For a service, payment or Course complaint, email mail@impactqhse.com with the relevant Order, account or booking details and the outcome sought. We will investigate and respond within a reasonable period. Data-protection complaints are handled under the Privacy Policy, including acknowledgement within 30 days.

These terms do not require a Consumer to use an alternative dispute-resolution provider before bringing a claim, unless a separate applicable arrangement states otherwise.

25. General legal terms

•  Entire agreement for Business Customers. The Order, these terms and any incorporated proposal or confirmation form the entire agreement concerning their subject matter. A Business Customer confirms it has not relied on a statement not set out in them, without limiting liability for fraud.

•  Transfer. You may not transfer an Order or account without our written consent. We may transfer our rights and obligations as part of a genuine business reorganisation or to a competent successor, provided this does not reduce a Consumer’s rights.

•  No third-party rights. Unless expressly stated, a person who is not a party to the contract has no right to enforce it under the Contracts (Rights of Third Parties) Act 1999.

•  Severability. If a provision is unlawful or unenforceable, it will be treated as modified to the minimum extent necessary or deleted, without affecting the remaining provisions.

•  No waiver. A delay or failure to enforce a right is not a waiver of that right.

26. Governing law and courts

These terms and any non-contractual dispute are governed by the laws of England and Wales.

For a Business Customer, the courts of England and Wales have exclusive jurisdiction. A Consumer may bring proceedings in the courts of the part of the United Kingdom in which the Consumer lives, and retains any mandatory rights under the law of that place.
